Key Duties and Responsibilities

The Assistant Vice President, Legal reports to the Vice President, Finance.

 

General Corporate Matters

  • Act as a trusted advisor and legal resource on all corporate initiatives, including reorganizations, amalgamations, and other corporate transactions
  • Ensure Forum, its subsidiaries’, and other internal vehicles’ corporate structures and records are appropriately maintained, filings are completed and filed in a timely manner
  • Oversee formation and dissolution of entities, minute book updates, and corporate resolutions
  • Update corporate information, director and officer listings, and transaction lists
  • Respond to internal inquiries regarding corporate legal matters
  • Provide legal support and strategic advice to assess and mitigate risk affecting the company’s operations including advice relating to corporate contracts
  • Provide advice on matters related to the general operation of the business and strategic initiatives as well as special corporate projects, as needed

 

Investments

  • Support the Real Estate Investments team in reviewing, commenting on, and drafting a wide range of agreements, including purchase and sale (asset and/or shares), LOIs, LPAs, JVs, shareholder agreements, etc.
  • Advise management on financing and re-financing transactions and instruct external counsel, if required
  • Lead the standardization of Forum’s agreements that reflect best practices
  • Manage and execute all corporate, legal and board matters related to the formation of a new real estate fund, the Forum Real Estate Income and Impact Fund
  • Respond to KYC requests, including completing AML-OFAC questionnaires and certifications
  • Liaise with external counsel, where necessary

Candidate Profile

  • Corporate lawyer, having experience in the real estate sector with 5-8 years of experience gained through working with a major law firm or well-regarded corporation
  • Lawyer in good standing with the Ontario Bar or other provincial equivalent
  • Strong corporate transactional and M&A experience with exposure to commercial real estate transactions.
  • Experience with real estate, construction/development, and/or facilities management agreements an asset
  • Strong negotiating, drafting, and organizational skills
  • Ability to work in a dynamic and entrepreneurial environment
  • Possess a “roll-up the sleeves”, hands-on approach to legal services and solutions-driven mentality with the ability to effectively balance legal risks against business interests
  • Excellent written, verbal, and interpersonal skills, and the ability to provide practical business-oriented legal advice
  • A high degree of integrity and strong business acumen and analytical skills
  • Well-organized and able to work in a multidisciplinary environment
  • Possess a proactive approach to creating efficiencies in-house including an interest in digital tools, strategies to drive legal innovation and create templates to streamline processes
  • Ability to work with and manage external legal counsel as needed
